The client is requested to read the terms and conditions of the research services offered including rights and obligations.
This Terms and Conditions Agreement ("Agreement") is entered into between Unite Technologies Financial Service (the "Research Analyst / RA"), having its registered office at Shop No. 219, Sai Vittoria, Opp. Atlanta Shopping Centre, Althan Canal Road, Surat, Gujarat – 395017, and duly registered under SEBI (Research Analyst) Regulations, 2014 under Registration Number INH000020350, and the Client or User ("You," "Your," or "Client").
1. Availing the Research Services
By accepting the delivery of the research service, the Client confirms that he/she has elected to subscribe to the research services of the RA at his/her sole discretion. The RA confirms that research services will be rendered in accordance with the applicable provisions of the SEBI (Research Analyst) Regulations, 2014 and other relevant regulations as amended from time to time.
2. Obligations on RA
The RA and the Client shall be bound by the SEBI Act, all applicable rules, regulations, and notifications of SEBI, including the SEBI Research Analyst Regulations and other relevant notifications issued by the Government, as may be in force from time to time.
3. Client Information and KYC
The Client shall provide all necessary details in full as required by the RA. The RA will collect, store, upload, and check KYC records of the Client with a KYC Registration Agency (KRA), as specified by SEBI from time to time.
4. Consideration and mode of payment
The Client shall duly pay to the RA the agreed fees for the services rendered and statutory charges, as applicable, through the specified manner and mode(s)/mechanism(s).
5. Risk factors
Investments in securities are subject to market risks, including the risk of loss of principal. Past performance is not indicative of future performance. The Client is advised to carefully assess financial objectives and risk tolerance before making investment decisions.
6. Conflict of interest
The RA shall adhere to applicable regulations/circulars/directions specified by SEBI from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. Detailed disclosure is annexed as Annexure-A.
7. Subscription Term and Renewal
Subscription may be Monthly, Quarterly, or Yearly. Upon expiration of the selected subscription period, this Agreement shall stand automatically terminated. Renewal requires execution of a new agreement.
8. Termination of service and refund of fees
The RA may suspend or terminate rendering of research services on account of suspension/cancellation of registration by SEBI and shall refund the residual amount to the client. In case of suspension for more than 60 days or cancellation, fees shall be refunded on a pro rata basis for the period from the effective date of cancellation/suspension to the end of the subscription period.
9. Grievance redressal and dispute resolution
Grievances related to non-receipt of research report, missing pages, inability to download the entire report, or any other deficiency shall be escalated to:

The RA shall resolve grievances within 7 (seven) business working days or such timelines as may be specified by SEBI. Disputes may be resolved through arbitration or other modes specified by SEBI.
10. Indemnity
The Client agrees to indemnify and hold the Research Analyst harmless against lawful claims, losses, damages, liabilities, costs and expenses arising from the Client's negligence, misconduct, or breach of this Agreement.
11. Representations and covenants
The Client represents that it has legal capacity to execute this Agreement, has read and understood the risks, and is subscribing for its own benefit. The Research Analyst represents that it is duly registered, qualified, and that advice is based on internal research methodology and is not driven by commissions/brokerage/gifts.
12. Mandatory notice
Clients shall review Do's and Don'ts while dealing with RA as specified in SEBI master circular no. SEBI/HO/MIRSD-POD-1/P/CIR/2024/49 dated May 21, 2024 or as may be specified by SEBI from time to time.
13. Most Important Terms and Conditions (MITC)
The MITC for research services are detailed in Annexure B, incorporated in compliance with SEBI Circular no. SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2025/004 dated January 08, 2025.
14–20. Severability, Force Majeure, Intellectual Property, Miscellaneous, AI, No Guarantee, Confidentiality, Governing Law
- Invalid provisions do not affect the remainder of this Agreement.
- The RA is not liable for delays beyond its control (force majeure).
- The RA owns intellectual property in research materials provided to the Client.
- If AI tools are used, the RA remains solely responsible for quality, accuracy, security, and confidentiality and will disclose AI usage.
- All investments carry market risk; the RA does not assure any specific gain or outcome.
- Personal data is protected per law; internet transmissions cannot be guaranteed fully secure.
- This Agreement is governed by the laws of India; courts in India have exclusive jurisdiction.
Annexure B — MITC (summary)
- RA cannot execute trades on behalf of the client.
- Maximum fee limit: ₹1,51,000/- per annum per family (individual/HUF); statutory charges extra.
- Advance fees shall not exceed one quarter; pro-rata refund on premature termination.
- Payments via cheque, online transfer, UPI, or CeFCoM; cash not allowed.
- No assured/guaranteed/fixed return schemes.
- SEBI registration and NISM certification do not guarantee performance or returns.
- RA will never ask for trading/demat/bank login credentials or OTPs.
Client consent
I/We have read and understood the terms and conditions applicable to a research analyst under regulation 2(1)(u) of the SEBI (Research Analyst) Regulations, 2014, including the fee structure. Any investment based on recommendations is subject to market risk; recommendations do not provide assurance of returns; there is no recourse to claim losses from investments made based on the research report.
